What does the subscription form include?

The Subscription Form consists of:

- General conditions (to be signed by the representative of the company, i.e. the person duly authorised by a legal entity),
- Specific conditions (must be signed by the representative of the company),
- The Certificate Manager ID form (must be signed by the representative of the company and the Certificate Manager),
- The Individual Subscriber Request (must be signed by the Certificate Manager and the Subscriber),
- The Connection Kit sales contract (must be signed by the Certificate Manager)
- The Direct Debit Authorization form (to fill uniquely if the customer has a bank account in France).

Proofs to be attached to the Subscription form are:

- Documentary proof bearing the SIREN no. of the company (or an equivalent registration number)
- A copy of the updated statutes of the company bearing the signature of the representatives,
- A proof of identity by the Certificate Manager (signed by the representative of the company and the Certificate Manager):

- either driving licence
- or national identity card
- or passport
- or work permit (for foreigners)

- A proof of identity by the Subscriber of the certificate (in the form of a copy certified to be compliant by the Certificate Manager and also signed by the Subscriber) in accordance with the list of proofs found above.

What is the life span of the General Conditions?

The general conditions are normally valid for an indefinite period: they remain in force till the expiration of the last Service subject to Specific Conditions.
They can be cancelled by registered letter with acknowledgement of receipt by either party with an advance notice period of 3 months.
The General Conditions can also be cancelled without advance notice by one of the parties in case of a breach of contractual duties by the other party.
The cancellation of the General Conditions automatically results in the cancellation of the Specific Conditions.

What is the life span of the Specific Conditions?

The Specific Conditions are not valid for an indefinite period. They are cancelled automatically at the end of the subscription of the last certificate during its validity if it is not renewed, unless the representative sends a written request.
They can be cancelled by registered letter with acknowledgement of receipt by either party with an advance notice period of 3 months. The General Conditions can also be cancelled without advance notice by one of the parties in case of a breach of contractual duties by the other party.

Is it possible to appoint several Managers of certificates?

Of course. The appointment of several managers is recommended in the case of a large number of Subscribers so as to manage their certificates more efficiently.

Can a certificate manager also be a certificate Subscriber?

A manager can also be a Subscriber and in this case he should fill in an Individual Subscriber Request form.

Should the manager be an employee of the company that signs the contract?

The manager is not necessarily an employee of the company that signs the subscription contract. He is an individual who performs requests for certificates and manages them on behalf of a company. The manager can be the authorised representative of the company or any person that it appoints for this purpose.

Should the Subscriber be an employee of the company that signs the contract?

The Subscriber is not necessarily an employee of the company that signs the subscription contract. This is an individual to whom a certificate is issued. The Subscriber represents the company in whose name he makes transactions during secured exchanges that are possible due to his certificate.

Should the certificate Subscriber and the manager be employees of the same company?

The manager and the Subscriber do not necessarily have to belong to the same company. However, they should be identified physically and professionally during the signing of the subscription contract and they should be recognisable during the entire life span of the certificate.

If the CEO wants to manage the Subscribers himself, what should he fill out?

He should present himself as the legal representative of the company and hence he should fill in and sign the General Conditions as well as the Specific Conditions of the Subscription Form. He will also have to fill in the Certificate Manager form in his name, which will make him the ''Certificate Manager''.

What happens if the form is incomplete?

If the form is incomplete, it is sent back to the signatory of the subscription contract. The Registration Authorities of SG Trust Services have the right to refuse any incomplete form and they are obliged to do so in order to fulfil their duties as per the Certification Policy.

What should be done if the company has two authorised signatories for any document?

The Subscription Form can indeed by signed by two persons.

Can a photocopy of the Subscription Form be submitted?

The Subscription Form submitted must be an original (to be submitted in duplicate), a photocopy will have no contractual value.

Are the Specific Conditions compulsory?

Yes: The Client specifies the application that he wishes to use by signing the Specific Conditions.

Is the Certificate Manager ID form compulsory?

The Certificate Manager ID form is compulsory in all cases (even if the representative of the company himself manages the certificates).

Is the Individual Subscriber Request compulsory?

Yes, the Individual Subscriber Request is compulsory in all cases.

What should the customer do to appoint a new certificate manager?

The representative should fill out a Certificate Manager ID form, signed by the new Certificate Manager and himself.

What should the manager do in order to obtain other certificates?

For each new subscription, an Individual Subscriber Request will have to be added to the form and submitted to the client's branch office. It will be drawn up in the name of the future Subscriber of the certificate and will be signed by the manager and the future Subscriber.

How to proceed if the representative leaves?

In case of invalidation of a representative (if he leaves his company, changes his post, expires), the client will have to notify his branch office of this change and the branch office will in turn inform SG Trust Services. The new representative will not have to sign the subscription contract again.

How to proceed if the certificate manager leaves?

In case of invalidation of a manager (if he leaves his company, changes his post, expires…), the client will have to notify the change to SG Trust Services and appoint a new "Certificate Manager''.
The new manager will have to fill in a Certificate Manager ID form, sign it and get the representative's signature. Once this form is duly filled in and signed, the Certificate Manager will send it to the branch office.

SG Trust Services will attach all certificates of Subscribers automatically, dependent on the old manager, to the new Certificate Manager.

How to proceed if the Subscriber leaves?

Each certificate is registered and considered to be non-transferable (loan or exchange). If the certificate Subscriber leaves, his certificate must be revoked.
An Individual Subscriber Request, corresponding to a new Subscriber, can then be addressed to the branch office that will then send it to SG Trust Services.
